1. Acceptance of Terms

By accessing the Website, registering for a trial or account, or purchasing a subscription, you confirm that:

• You are at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872;
• You have read, understood, and agree to be bound by these Terms; and
• All information you provide is accurate, current, and complete.

We may amend these Terms from time to time. Changes are effective when posted on this page with an updated Effective Date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of the Service

Quantzee provides AI-powered technical trading indicators and analytics tools designed to operate on third-party charting platforms such as TradingView, together with related content, documentation, alerts, and subscription access. The Service is intended for use across multiple markets (including stocks, cryptocurrencies, forex, and indices) by a global audience.

The Service provides analytical and educational tools only. Quantzee, the indicators, and any associated content:

• Are not investment, financial, trading, legal, or tax advice;
• Do not constitute a recommendation, solicitation, or offer to buy or sell any security, instrument, or asset;
• Do not guarantee any particular result, profit, signal accuracy, or performance.

You are solely responsible for your own trading and investment decisions. See Section 7 (Disclaimers) and Section 8 (Limitation of Liability).

We reserve the right to modify, suspend, or discontinue any part of the Service (including individual indicators or features) at any time, with or without notice.

3. Accounts and Subscriptions

3.1 Registration. Certain features require you to create an account. You must provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3.2 Subscriptions and billing. Access to indicators is provided on a paid subscription basis (e.g. monthly, quarterly, or yearly plans). By subscribing, you authorise us and our payment processor to charge the applicable fees, including any recurring/renewal charges, to your chosen payment method until you cancel.

3.3 Renewals and cancellation. Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel at any time through your account or by contacting support; cancellation stops future renewals and takes effect at the end of the current paid period.

3.4 Pricing and taxes. Prices are as displayed at the time of purchase and may change for future billing cycles. Fees are exclusive of any applicable taxes (such as GST), which will be added where required.

3.5 Refunds. All fees are governed by our Refund Policy. Unless expressly stated otherwise, all sales and subscriptions are final and non-refundable.

4. User Obligations and Acceptable Use

You agree that you will not:

• Use the Service for any unlawful, fraudulent, or unauthorised purpose;
• Share, resell, sublicense, redistribute, or provide access to the indicators or your account to any third party;
• Copy, reverse-engineer, decompile, disassemble, or attempt to extract the source code or logic of any indicator or part of the Service, except to the extent permitted by law;
• Circumvent, disable, or interfere with security or access-control features, or attempt to gain unauthorised access to the Service or its systems;
• Use bots, scrapers, or automated means to access the Service in a manner that burdens our infrastructure;
• Upload or transmit malware, or engage in any activity that disrupts or damages the Service;
• Infringe the intellectual property or other rights of the Company or any third party;
• Misrepresent your identity or your affiliation with any person or entity.

We may suspend or terminate your access immediately and without refund if you breach these Terms or engage in conduct we reasonably consider harmful to the Service or other users.

5. Intellectual Property

All content, software, indicators, algorithms, source code, designs, text, graphics, logos, trademarks (including "Quantzee"), and other materials made available through the Service are the property of Yogya Infomedia Limited or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service and the indicators for your own personal, non-commercial use during your active subscription. This licence does not transfer any ownership rights.

You may not use our trademarks, branding, or content without our prior written permission. All rights not expressly granted are reserved.

6. Third-Party Platforms and Links

The Service operates in conjunction with, and may link to, third-party platforms and websites (such as TradingView, payment processors, and analytics providers). We do not control and are not responsible for the content, availability, policies, or practices of any third party. Your use of third-party platforms is governed by their respective terms and policies.

7. Disclaimers

7.1 No financial advice. The Service, including all indicators, signals, alerts, and content, is provided for informational and educational purposes only and does not constitute investment, financial, trading, legal, or tax advice. You should consult a qualified, licensed professional before making any financial decision.

7.2 Trading risk. Trading and investing in financial markets involve substantial risk, including the risk of losing your entire capital. Past performance is not indicative of future results. Hypothetical, backtested, or illustrative performance has inherent limitations and does not guarantee future outcomes. You trade entirely at your own risk.

7.3 "As is" basis. The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any signal, indicator output, or content.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• In no event shall Yogya Infomedia Limited, its directors, officers, employees, affiliates, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, trading losses, or goodwill, arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages.
• Without limiting the foregoing, we are not liable for any trading, investment, or financial losses you may incur in connection with the use of the indicators or any content.
• Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total amount actually paid by you to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations; in such cases, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Yogya Infomedia Limited and its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party or applicable law.

10. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and without liability, if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to Section 12, the courts at Delhi, India, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

12. Dispute Resolution

In the event of any dispute, the parties shall first attempt to resolve it amicably through good-faith negotiation. Any dispute not resolved within thirty (30) days may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, to be conducted by a sole arbitrator at Delhi, India, in the English language. This clause does not prevent either party from seeking urgent injunctive relief from a court of competent jurisdiction.

13. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce any provision is not a waiver of that provision.
• Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Notices. We may provide notices to you by email or by posting on the Website.
